Job Description
The Director of Human Resources, Mergers & Acquisitions will work with executives, corporate strategy, legal, and finance teams from due diligence through post-launch integration for all potential and completed acquisitions. This Director will lead the initial planning, due-diligence, and integration phases of all acquisitions from a personnel stand point.
Responsibilities
Serve as a dedicated functional M&A and Strategy resource globally, providing leadership and greater focus. Act as a business partner to commercial leaders Utilize in-depth change management and organizational design expertise to assist leadership teams in performing due-diligence of potential acquisitions and then assisting them in successful integration Actively lead all aspects of due diligence and integration planning activities, partnering with the Mergers, Acquisitions & Transitions and all other HR functions Leading the project management of people and change activities across a deal cycle ( deals span the range of constructs involving the use or release of our equity capital - investments, acquisitions and monetization activities) Create a center of excellence with regards to HR M&A activities and drive greater connectivity between the central function and the leadership teams, to facilitate increased consistency in standards, and sharing of best practice on a company wide basis When appropriate, provide generalist HR support to central functions and broader HR initiatives and projects. May serve as Head of HR of acquired entities as needed Leading upfront research at target evaluation on specific deals involving industry and company research based on publicly available information Coordinating functional findings, identifying dependencies and watch outs and compiling into recommendations and solutions for each phase Design and implement a HR due diligence process and become a key member of the core negotiating team in Corporate Development Reporting on and representing the HR work stream back to Corporate Development and deal partners, ensuring human capital risks, issues and opportunities associated with deal activities are identified, managed and factored into the terms of the agreement and integration/ separation planning processes Employee transitions: Working with business clients to assess need for elimination as part of a restructuring or organizational change. Assessing alternatives. Working with business client to articulate elimination rationale Contributing to the evaluation of people and change activities post deal and ensuring lessons learned are reflected in deal training infrastructure Introduce strategic change management, talent assessment, and knowledge transfer activities into the acquisition process
Qualifications & Experience
A track record in developing robust frameworks to deliver best practice HR processes and disciplines across multi-site, software focused business. Must demonstrate a strong focus on driving operational excellence Demonstrated general and project management experience leading cross functional teams through the end to end deal cycle A career demonstrating rapid progression and increased responsibility, with a proven ability in developing and implementing HR strategies to support major business re-engineering and change programs on a global basis Must demonstrate a strong working knowledge of employment law across the major VMware markets and have the ability to quickly get to grips with legislation in other international geographies as required Superior leadership and negotiation expertise Exceptional relationship building experience in pressurized environments; proven track record of engaging with senior line management A high level of commercial awareness; must demonstrate a solid grasp of the wider business imperatives and how they impact the HR agenda
